These Terms of Use govern your access to and use of the StudentPay New Zealand website and the public-facing digital services made available through it.

Please read these Terms carefully.

By accessing or using this website, you agree to these Terms of Use. If you do not agree to them, you should not use the website.

In these Terms, StudentPay, we, us and our refer to StudentPay NZ Limited, the StudentPay entity providing StudentPay services in New Zealand.

1. About these Terms

These Terms apply to your use of the StudentPay New Zealand website, including when you:

• browse information about StudentPay;
• use website forms;
• access payment or enrolment experiences;
• follow links to StudentPay portals or other StudentPay services;
• use developer resources made available through the website; or
• otherwise interact with website functionality.

Some StudentPay products and services are governed by additional or separate agreements.

These may include payment plan agreements, direct debit arrangements, provider agreements, enrolment terms, API or integration terms, or other service-specific conditions.

If you establish a direct debit with StudentPay, our Direct Debit Service Agreement and the Direct Debit Instruction provided when you establish the authority will also apply.

If separate terms apply to a particular service, those terms will also apply. To the extent there is an inconsistency concerning that particular service, the more specific terms will prevail.

2. About StudentPay

StudentPay provides technology and payment-related services for the education sector.

Depending on the relevant service, StudentPay may facilitate:

• student enrolment and checkout experiences;
• establishment and management of payment plans;
• payment processing;
• direct debit arrangements;
• student and provider portals;
• account and payment information;
• arrears and collections management;
• reporting; and
• integration services for education providers.

Information describing StudentPay services on this website is general information only.

The specific features, pricing, eligibility requirements and contractual terms applying to a service may be set out separately.

3. Using the website

You may use this website only for lawful purposes.

You must not:

• use the website in a way that breaches applicable law;
• attempt to gain unauthorised access to any account, system, server, database or network;
• interfere with the operation, availability or security of the website;
• introduce malicious software, viruses or other harmful code;
• attempt to bypass security or authentication controls;

4. Accounts and portals

Some StudentPay services require authentication or access through a StudentPay portal.

If you use a StudentPay account, you are responsible for:

• keeping your account details reasonably current;
• maintaining the security of your authentication credentials;
• not allowing another person to use your account without appropriate authority; and
• notifying StudentPay promptly if you believe your account or credentials have been compromised.

We may suspend or restrict access to an account where reasonably necessary to:

• protect the security of the account or service;
• investigate suspected misuse or fraud;
• comply with law;
• address a material breach of applicable terms; or
• protect StudentPay, an education provider or another user.

Where reasonable in the circumstances, we will seek to restore access once the relevant issue has been resolved.

5. Information you provide

You are responsible for ensuring that information you provide through the website is accurate and not intentionally misleading.

If you submit information on behalf of another person or organisation, you must have appropriate authority to do so.

Information submitted through StudentPay may be used to provide StudentPay services and may also be shared with the relevant education provider or service providers where appropriate.

Our collection and handling of personal information is governed by our Privacy Policy.

6. Payments and payment information

The website may enable you to initiate or access StudentPay payment services.

Any payment made through StudentPay may also be subject to:

• the terms of the applicable payment arrangement;
• your payment plan or other agreement;
• the terms of a relevant payment service provider;
• applicable banking or direct debit rules; and
• any other terms presented as part of the relevant payment process.

A payment is not necessarily complete merely because information has been submitted through the website.

Payment confirmation may depend on successful processing, authorisation, settlement or other steps undertaken by the relevant payment provider or financial institution.

7. Education providers

StudentPay works with independent education providers.

An education provider is responsible for its own:

• courses and educational services;
• enrolment decisions;
• course delivery;
• academic matters;
• refunds or cancellations to the extent those matters are the provider's responsibility;
• representations about its courses; and
• terms and conditions applying to the relationship between the provider and its students.

StudentPay's role is separate from the education provider's delivery of education.

Nothing on this website should be interpreted as StudentPay providing the education or training offered by an education provider.

Where StudentPay facilitates an enrolment or payment experience, the education provider's applicable enrolment or student terms may also apply.

8. Website information

We take reasonable care in preparing information published on the website.

However, website content is provided primarily for general information and may not reflect every term, condition or circumstance applying to a particular StudentPay service.

Before making a decision based on website information, you should consider any specific agreement or other information provided for the relevant product or service.

We may update, correct or remove website content from time to time.

To the extent permitted by law, StudentPay does not guarantee that every piece of website content will always be complete, current or free from error.

Nothing in this section limits any right or remedy that cannot lawfully be excluded.

9. Availability and changes to the website

We aim to keep our website and digital services available and reliable, but continuous or uninterrupted availability cannot be guaranteed.

From time to time, access may be affected by:

• maintenance;
• upgrades;
• service-provider outages;
• telecommunications failures;
• security incidents;
• events outside our reasonable control; or
• changes to StudentPay services.

We may modify, suspend or discontinue website functionality where reasonably necessary.

Where a change materially affects an existing service relationship, any specific contractual terms governing that service will continue to apply.

10. Intellectual property

Unless otherwise stated, StudentPay or its licensors own the intellectual property rights in the website and content made available through it, including:

• text;
• graphics;
• branding;
• software;
• page design;
• documents;
• images; and
• other website materials.

You may view, download or print reasonable portions of website content for your own personal or internal business use.

You must not, without our prior written permission:

• reproduce substantial parts of the website for commercial use;
• modify and republish StudentPay content in a misleading way;
• remove copyright, trade mark or attribution notices;
• represent StudentPay content as your own; or
• use StudentPay branding or trade marks in a manner that suggests an affiliation or endorsement that does not exist.

Nothing in these Terms transfers ownership of StudentPay intellectual property to you.

11. Material you submit

If you submit documents, information or other material through StudentPay, you retain any ownership rights you have in that material.

You grant StudentPay the rights reasonably necessary to receive, store, process, reproduce and use that material for:

• providing the relevant StudentPay service;
• performing our contractual obligations;
• administering your account or payment arrangement;
• supporting the relevant education provider relationship;
• complying with law; and
• maintaining and protecting our services.

12. Third-party services and links

The StudentPay website may contain links to websites or services operated by third parties.

These may include payment providers, education providers, authentication services, documentation platforms or other services.

A link does not necessarily mean that StudentPay controls or endorses every aspect of the third-party service.

Third-party websites and services may have their own terms, privacy policies and security practices.

StudentPay is not responsible for content or services supplied independently by a third party, except to the extent responsibility cannot lawfully be excluded.

13. Security

We take reasonable steps to protect the security of StudentPay systems.

However, internet-based services carry inherent security risks and no website can be guaranteed to be completely secure.

You must not:

• knowingly introduce malware or harmful code;
• probe or test vulnerabilities without authorisation;
• attempt to circumvent security controls;
• interfere with other users;
• conduct denial-of-service or similar attacks; or
• access data, accounts or systems without authority.

We may investigate suspected security incidents and cooperate with relevant authorities where appropriate or required by law.

14. Our liability

Nothing in these Terms excludes, restricts or modifies any right or remedy you have under New Zealand law that cannot lawfully be excluded, restricted or modified, including any applicable rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.

Subject to those rights, and to the maximum extent permitted by law, StudentPay will not be responsible for loss or damage arising from:

• your unlawful or improper use of the website or StudentPay digital services;
• your failure to comply with these Terms;
• unauthorised access resulting from your failure to take reasonable steps to protect your account or authentication credentials;
• your reliance on general website information where more specific or current information has been provided to you in relation to the relevant service;
• products or services supplied independently by an education provider or other third party; or
• events outside StudentPay's reasonable control.

Nothing in these Terms limits any liability that cannot lawfully be limited.

Where you use StudentPay in connection with a business or other commercial arrangement, additional terms may apply under the relevant agreement between StudentPay and that business.

15. Privacy

Our handling of personal information is governed by our Privacy Policy.

The Privacy Policy should be read together with these Terms where personal information is collected through StudentPay websites or services.

16. Changes to these Terms

We may update these Terms from time to time to reflect changes to:

• our website;
• StudentPay services;
• technology;
• security requirements; or
• applicable law.

The current version will be published on this page together with the date it was last updated.

Changes will apply from the date the updated Terms are published unless another effective date is stated.

Where a change affects rights or obligations under a separate existing agreement, that agreement will continue to govern those rights and obligations unless changed in accordance with its own terms.

17. Suspension and termination

We may restrict or terminate access to the public website or a StudentPay digital service where reasonably necessary because of:

• unlawful use;
• fraud or suspected fraud;
• a security risk;
• material misuse;
• a serious or repeated breach of applicable terms;
• legal or regulatory requirements; or
• discontinuation of the relevant service.

Any suspension or termination of a specific StudentPay service remains subject to any separate agreement governing that service.

Provisions which by their nature are intended to continue after access ends, including intellectual property, liability and governing law provisions, will continue to apply.

18. Severability

If part of these Terms is found to be unlawful, invalid or unenforceable, that part will be treated as modified or removed only to the extent necessary.

The remaining provisions will continue to apply.

19. No waiver

If StudentPay does not immediately exercise a right under these Terms, this does not mean that StudentPay has waived that right.

A waiver will only apply where StudentPay has clearly agreed to it.

20. New Zealand law

These Terms are governed by New Zealand law.

Subject to any rights you may have under applicable consumer law, disputes relating to these Terms or use of the website will be subject to the jurisdiction of the New Zealand courts.

Nothing in these Terms prevents a consumer from exercising any right to bring a claim or seek a remedy through a tribunal, regulator or other process available under New Zealand law.
